| By signing
up to the Toronto-Goth Banner Exchange you agree to the following terms and
conditions. The Toronto-Both Banner Exchange is a free service and can at any
time be modified or changed in any manner, with or without banner exchange
members (the "member(s)") being notified at the discretion of the
site administrators. Additionally, the administrators can at any time revoke
membership in the Toronto-Goth Banner Exchange for any reason. Any unredeemed
banner views/showing that have been earned by the member when membership is
revoked are considered null and void, with no obligation on the part of
Toronto-Goth.com to honour them. Members agree to use the entire unmodified
HTML code segment provided by Toronto-Goth.com for displaying banner ads on
their website. Members may place banner ads on as many pages as they wish so
long as they are publicly accessible and visible (i.e. not in a hidden frame),
are not placed in a pop up window, and that the pages on which the banner ad
has been placed does not automatically refresh/reload or automatically link to
a different page. The member may not place more then one Toronto-Goth banner
exchange banner on a single page. Toronto-Goth.com reserves the right to
monitor and verify the usage of banner ad HTML and its correctness.
Toronto-Goth.com reserves the right to utilize members website information and
content. Uses could include (and are not limited to) running featured sites,
statistical information on the banner exchange, and lists of member sites.
Members found fraudulently inflating traffic counts/banner views by artificial
or manual means (such as repeatedly hitting the reload button on your own site)
will have their membership revoked. Toronto-Goth.com can not be held
responsible for any damage or loss of information caused by membership in the
Toronto-Goth banner exchange. While at all times Toronto-Goth.com will attempt
to maintain a high quality reliable service, the administration make no
guarantee of any kind in regards to accuracy, dependability or punctuality.
Finally, you agree to defend, indemnify and hold the Toronto-Goth Banner
Exchange, its staff and sponsors (including Toronto-Goth.com) harmless from and
against any and all claims, losses, liability costs and expenses (including but
not limited to attorneys' fees) arising from your violation of this Agreement
or any third-party's rights, including but not limited to infringement of any
copyright, violation of any proprietary right and invasion of any privacy
rights. This obligation will remain despite any termination or revokment of
membership.
